“Indemnification Agreement” means the agreement between the Company and the director {and Purchaser Affiliates} designated by any Purchaser entitled to designate a member of the Board of Directors pursuant to the Voting Agreement, dated as of the date of the Initial Closing, in the form of Exhibit D attached to this Agreement.
