Immediately prior to the Initial Closing, the authorized capital stock of the Company will consist of {Cap.Common.Auth.#} shares of Common Stock, of which {Cap.Common.Issued.#} shares are issued and outstanding and {Cap.AA.Auth.#} shares of Preferred Stock, all of which are designated Series AA Preferred and none of which are issued and outstanding. The Common Stock and the Series AA Preferred shall have the rights, preferences, privileges and restrictions set forth in the Restated Certificate.
