General

1. Amendments
   Any amendment to the {_Agreement} must be in writing and is executed by authorized representatives of both {_parties}.
2. Entire Agreement
   This {_Agreement} is the entire agreement and understanding between the {_parties} with respect to the subject matter described in this {_Agreement} and supersedes all prior agreements, understandings, promises and representations with respect thereto.
3. Counterparts
   This {_Agreement} may be executed in any number of counterparts. which, when taken together, will constitute one original.
4. Electronic Signatures
   This {_Agreement} may be executed by PDF format via email or other electronically transmitted signatures and such signatures will be deemed to bind each {_party} to this {_Agreement} as if they were original signatures.
5. No Third-Party Beneficiaries

   1. No person or entity who is not a {_party} to this {_Agreement} will have the right to enforce any provision of this {_Agreement}.
   2. No person or entity who is not a {_party} to this {_Agreement} will have the right to enforce any provision of this {_Agreement}, except that third party users of the {_Trained_Model} are third-party beneficiaries of Section {RightsInTrainedModel.2.Xnum}.
6. Relationship of the Parties
   The {_parties} are independent contractors and the relationship between the two {_parties} under this {_Agreement} will not constitute a partnership or agency. Neither {_party} will have the authority to take any action that will be binding on the other {_party}.
7. Assignment
   Neither {_party} may assign this {_Agreement}, in whole or in part, to any third party without the prior written consent of the other {_party}.
