Ti	=	Jurisdiction; Service of Process
Base.sec	=	Except as otherwise provided in {_this_Agreement}, any {_Proceeding} arising out of or relating to {_this_Agreement} or any {_Contemplated_Transaction} shall be brought in {Tribunal.cl}, and each of the parties irrevocably submits to the exclusive jurisdiction of each such court in any such {_Proceeding}, waives any objection it may now or hereafter have to venue or to convenience of forum, agrees that all claims in respect of such {_Proceeding} shall be heard and determined only in any such court, and agrees not to bring any {_Proceeding} arising out of or relating to {_this_Agreement} or any {_Contemplated_Transaction} in any other court.
Bargain.sec	=	Each party acknowledges and agrees that this {Misc.Tribunal.Xref} constitutes a voluntary and bargained-for agreement between the parties.
Notice.sec	=	Process in any {_Proceeding} referred to in the first sentence of this Section or in {Claim.3Party.4.Xref} may be served on any party anywhere in the world, including by sending or delivering a copy of the process to the party to be served at the address and in the manner provided for the giving of notices in {Misc.Notice.Xref}. Nothing in this {Misc.Tribunal.Xref} will affect the right of any party to serve legal process in any other manner permitted by law or at equity.
